Terms of Service

1. Who you're agreeing with

These terms are an agreement between you and Liamquiel Gonzalez Sarmiento, a sole proprietor in Kentucky, USA, doing business as RIZE TMS ("RIZE", "we", "us"). They cover the RIZE TMS software at app.rizetms.com and the website at rizetms.com (together, "the service").

If you sign up for a company, you're agreeing for that company and confirming you're allowed to. You must be at least 18.

New companies get a 30-day free trial with full use of the service. No payment details are needed to start. Nothing is charged automatically when the trial ends. If you don't subscribe, your account becomes read-only, as described in section 5.

You can export your company data at any time from Settings, including while read-only. To delete your company and its data, the owner can email support@rizetms.com. We'll delete it from the live service within 30 days, and it drops out of our encrypted backups as they expire.

We may suspend or close an account that breaks these rules, and we'll tell you why unless the law or safety stops us.

9. Check your numbers

RIZE helps you organize your business. It isn't a replacement for professional advice. Invoices, IFTA figures, driver pay, aging and reports are all worked out from what you enter, so check them before you send, file or pay anything. You're responsible for your tax filings, your invoices, what you pay your drivers, and your compliance with trucking regulations.

10. Availability and changes

We work to keep RIZE running and your data safe, including nightly backups, but we can't promise the service will always be available or free of errors. We may improve, change or remove features over time. If we ever shut the service down, we'll give account owners at least 30 days' notice so you can export your data.

11. No warranties

To the extent the law allows, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limit of liability

To the extent the law allows, RIZE won't be liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose.

13. Indemnity

If someone brings a claim against us because of the data you put into RIZE or how you used the service in breach of these terms, you'll cover the reasonable costs of that claim.

14. Changes to these terms

We may update these terms. We'll change the date and version at the top, and for significant changes we'll tell account owners by email or in the app before they take effect. Continuing to use RIZE after that means you accept the updated terms.

15. Governing law

These terms are governed by the laws of the Commonwealth of Kentucky, USA, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Kentucky, unless the law where you are requires otherwise.
